WellPro Terms of Service. Last updated: June 17, 2026.

1. Agreement to these Terms

These Terms of Service govern your access to and use of WellPro, including our website, platform, specialist profiles, booking tools, messaging tools, AI-supported content tools, subscription services, payment features, and related services.

By creating an account, browsing the platform, booking a session, listing services, subscribing as a specialist, using WellPro's AI tools, or otherwise using the platform, you agree to these Terms and any policies referenced in them.

If you do not agree to these Terms, you may not access or use WellPro.

2. Who we are

WellPro is operated by Metasomaura LLC, a New York limited liability company. In these Terms, “WellPro,” “we,” “us,” and “our” refer to Metasomaura LLC and the WellPro platform.

WellPro helps wellness seekers discover, evaluate, contact, and book independent wellness specialists. WellPro also provides specialists with tools to present their expertise, improve their visibility, create educational content, manage bookings, and better communicate their services.

3. Platform role and independent specialists

WellPro is a technology platform. WellPro does not provide medical care, wellness services, therapy, bodywork, coaching, training, treatment, diagnosis, or professional advice.

Specialists listed on WellPro are independent providers. They are not employees, agents, partners, representatives, or contractors of WellPro. Each specialist is solely responsible for:

  • The services they offer
  • Their credentials, licenses, certifications, insurance, and professional standing
  • Practicing within their lawful scope
  • The accuracy of their profile, services, prices, policies, and availability
  • The quality, safety, legality, and appropriateness of their services
  • Their communications with seekers
  • Their taxes, business obligations, and legal compliance

WellPro may review, verify, approve, reject, suspend, hide, or remove specialist profiles, services, documents, or accounts, but any review by WellPro does not guarantee the quality, safety, legality, or outcome of any specialist service.

4. Eligibility

You must be at least 18 years old and legally able to enter into a binding agreement to use WellPro.

Specialists must provide accurate business and professional information and may be required to submit proof of licensure, certification, liability insurance, identity, business status, or other documentation. WellPro may deny, suspend, or remove specialist access if required information is missing, expired, inaccurate, unverifiable, or inconsistent with platform standards.

5. Accounts and account responsibilities

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

You agree to provide accurate, current, and complete information and to update your information when it changes. You may not impersonate another person, create an account for someone else without permission, use false information, or use WellPro for unlawful or unauthorized purposes.

You must notify WellPro promptly if you believe your account has been accessed without authorization.

Your submission of personal information through WellPro is governed by our Privacy Policy.

6. Seeker responsibilities

If you use WellPro as a seeker, you understand and agree that:

  • You are responsible for choosing whether a specialist is appropriate for your needs.
  • Information on WellPro is for general discovery, education, and decision support only.
  • You should review a specialist's qualifications, service descriptions, policies, and fit before booking.
  • You should not use WellPro for emergencies or urgent medical situations.
  • You are responsible for providing accurate booking information and attending scheduled sessions.
  • You are responsible for communicating respectfully and lawfully with specialists.

WellPro does not guarantee that any specialist will meet your expectations, produce a particular outcome, or be appropriate for your health, wellness, personal, or professional situation.

7. Specialist responsibilities

If you use WellPro as a specialist, you agree that you are solely responsible for:

  • Maintaining all required active, unexpired licenses, certifications, registrations, credentials, and professional liability insurance for the wellness modalities and services you offer
  • Practicing only within your lawful scope of practice
  • Keeping your profile, services, pricing, location, availability, credentials, insurance, and policies accurate
  • Promptly notifying WellPro if any license, certification, credential, insurance policy, or professional authorization expires, changes, is suspended, is revoked, or becomes restricted
  • Honoring confirmed bookings
  • Communicating professionally with seekers
  • Protecting seeker privacy and confidentiality as required by applicable law and professional standards
  • Avoiding misleading, exaggerated, unsupported, or unlawful claims
  • Complying with advertising, healthcare, telehealth, consumer protection, tax, and professional rules that apply to your services
  • Maintaining your own records, waivers, consents, intake forms, and client documentation as needed

You may not use WellPro to offer services you are not legally authorized or qualified to provide.

8. Specialist verification and profile visibility

Specialists must be verified before they are eligible to be publicly listed, searchable, promoted, or bookable on WellPro.

To be verified, specialists must provide documentation reasonably requested by WellPro, including:

  • Proof of an active, unexpired license, certification, registration, or comparable credential for each wellness modality or professional service they offer on WellPro, where applicable
  • Proof of active business professional liability insurance or other professional liability coverage appropriate for their services
  • Accurate business, identity, and practice information
  • Any additional documentation WellPro determines is necessary to confirm eligibility, safety, compliance, or platform trust

Specialists are responsible for keeping all licenses, certifications, registrations, credentials, and professional liability insurance active, accurate, and up to date. Specialists must promptly update WellPro if any credential, license, certification, insurance policy, registration, legal authorization, or professional standing changes, expires, is suspended, is revoked, is restricted, or is otherwise no longer valid.

WellPro may deny, delay, suspend, hide, deactivate, or remove a specialist profile if required documentation is missing, expired, inaccurate, unverifiable, incomplete, inconsistent with the services offered, or no longer meets WellPro's verification standards.

Approval or verification by WellPro does not create an endorsement, warranty, employment relationship, or guarantee of professional quality, safety, availability, or outcomes.

9. AI-supported tools and consent

WellPro may offer AI-supported tools to help users draft, organize, refine, or improve content, including specialist profiles, Impact Blueprint content, blog posts, messaging suggestions, educational copy, service descriptions, and matching-related inputs.

By using WellPro's AI-supported tools, you consent to WellPro processing the information you submit to generate suggestions, drafts, summaries, recommendations, or other outputs. AI-generated outputs may be incomplete, inaccurate, inappropriate, or unsuitable for your intended use.

You are responsible for reviewing, editing, approving, and verifying all AI-supported content before publishing, sending, relying on, or using it. WellPro does not guarantee that AI-generated content is accurate, compliant, original, effective, or appropriate for professional, legal, medical, therapeutic, advertising, or regulatory purposes.

Specialists are solely responsible for ensuring that any AI-assisted profile content, service description, article, claim, communication, or marketing copy complies with applicable laws, professional standards, advertising rules, and scope-of-practice requirements.

10. Content ownership and platform license

You retain ownership of content you create and submit to WellPro, including profile copy, service descriptions, articles, images, testimonials you are authorized to use, and other user-generated content.

By submitting, posting, publishing, or displaying content on WellPro, you grant WellPro a non-exclusive, worldwide, royalty-free, transferable, sublicensable license to host, store, reproduce, display, publish, distribute, modify for formatting, promote, and otherwise use that content in connection with operating, improving, marketing, and promoting the platform.

This license includes the right to display your specialist profile, services, public content, articles, testimonials, and related information on WellPro and in platform features such as search, matching, profile previews, educational content areas, marketing pages, email communications, and promotional placements.

You represent that you have all rights needed to submit and authorize WellPro to use your content.

11. Payments, Stripe, and third-party processors

WellPro uses Stripe and related third-party payment services to process payments, subscriptions, specialist payouts, refunds, fees, and related financial transactions.

By making or accepting payments through WellPro, you agree to comply with Stripe's applicable terms, including any Stripe Connect terms that apply to specialists. WellPro is not responsible for delays, restrictions, errors, account holds, payout failures, processing issues, chargebacks, or other actions caused by Stripe, banks, card networks, payment processors, or financial institutions.

All prices, fees, and charges may be subject to applicable taxes, payment processing fees, and other charges.

12. Specialist subscriptions

Specialists may be required to maintain an active paid subscription to access certain specialist features, maintain profile visibility, use business tools, or accept bookings through WellPro.

Subscription fees may be billed monthly, annually, or on another disclosed billing cycle. Unless otherwise stated at checkout, subscriptions automatically renew until canceled.

You authorize WellPro and its payment processors to charge your selected payment method for recurring subscription fees, applicable taxes, and related charges.

You may cancel your subscription through the available billing portal or account settings. Cancellation stops future renewal charges but does not automatically refund past charges, partial billing periods, or already-incurred fees, unless required by law or expressly stated by WellPro.

If your subscription payment fails, is disputed, is reversed, or is canceled, WellPro may restrict specialist tools, hide your profile, suspend booking access, or deactivate your specialist account after any applicable notice or grace period.

13. WellPro booking fees

For bookings processed through WellPro's integrated booking and payment system, WellPro charges a platform fee of 8% per completed paid booking, plus applicable taxes or processing-related charges where applicable.

This platform fee may be deducted from the amount charged to the seeker, from the specialist's earnings, or otherwise reflected in the payment flow as disclosed in the platform.

Specialists who use external booking links or external payment systems may not be charged the WellPro integrated booking platform fee for those external transactions, but they remain responsible for any subscription fees and any fees charged by their external tools or processors.

WellPro may change its fees by posting updated terms, updating pricing pages, or providing notice where required. Continued use of paid features after a fee change takes effect constitutes acceptance of the updated fees.

14. Specialist payouts and session review period

For WellPro-integrated paid bookings, specialist earnings are subject to WellPro's payout process, Stripe Connect requirements, refund rules, dispute handling, and session review policies.

Unless otherwise stated, eligible specialist earnings from completed WellPro-integrated bookings are scheduled for release after a 14-day session review and payout release period following completion of the session.

Payouts may be delayed, paused, reduced, reversed, withheld, or canceled if:

  • The seeker cancels within an applicable refund window
  • The specialist cancels
  • A no-show or attendance claim is reported
  • A refund, chargeback, payment dispute, fraud review, or processor hold occurs
  • The booking is canceled, abandoned, unpaid, or refunded
  • The specialist's Stripe Connect account is incomplete, restricted, deauthorized, or unable to receive transfers
  • Required specialist documents, subscription status, or verification status are incomplete or expired
  • WellPro reasonably believes there has been fraud, misuse, policy violation, safety concern, or legal risk

WellPro may deduct, offset, reverse, or recover amounts related to refunds, chargebacks, disputes, processor fees, platform fees, taxes, adjustments, or amounts paid in error.

Specialists are responsible for maintaining accurate payout information in Stripe and for resolving Stripe account requirements.

15. Booking cancellations, refunds, and no-shows

Unless a different policy is clearly stated at booking, the following booking rules apply to WellPro-integrated bookings:

  • Seekers may cancel at least 48 hours before a scheduled session for a full refund.
  • Cancellations less than 48 hours before the scheduled session may be treated as late cancellations and may be charged in full.
  • Seeker no-shows may be charged in full and may not be eligible for a refund.
  • If a specialist cancels a confirmed session, the seeker is eligible for a full refund.
  • Refund timing may depend on Stripe, card networks, banks, or payment processors.
  • Payment processing fees may not always be refundable unless required by law or expressly stated.

After a session is completed, seekers may have a limited attendance report window to report that a specialist did not attend. Attendance-related refund claims must be submitted through the appropriate WellPro report flow within the stated window.

Rating a session or submitting feedback is not the same as filing an attendance-related refund claim. General concerns, safety reports, and conduct reports may be reviewed separately and do not automatically result in a refund.

WellPro may review cancellation, no-show, attendance, refund, or dispute issues and may make platform decisions based on available information. WellPro's decision may affect refunds, specialist payouts, profile status, reliability metrics, or account standing.

16. Messaging and acceptable communication

WellPro may provide messaging tools so seekers and specialists can ask questions, discuss services, coordinate bookings, and communicate about platform-related matters.

You agree to use messaging features respectfully, professionally, and lawfully. You may not use WellPro messages to:

  • Harass, threaten, abuse, intimidate, shame, exploit, or discriminate against another person
  • Send sexually explicit, violent, hateful, defamatory, deceptive, or inappropriate content
  • Send spam, advertising, solicitation, phishing attempts, malware, or unauthorized promotions
  • Request, share, or misuse sensitive personal information unnecessarily
  • Pressure users to avoid WellPro rules, fees, safety processes, or payment protections
  • Impersonate another person or misrepresent your identity, qualifications, services, or intentions
  • Provide services or advice outside your lawful scope of practice
  • Use messages for illegal, unsafe, or exploitative purposes

Users should avoid sharing unnecessary personal health information, highly sensitive information, or emergency information through WellPro messaging. Specialists are responsible for complying with any professional confidentiality, privacy, informed consent, recordkeeping, or healthcare-related obligations that apply to their practice.

WellPro may monitor, review, restrict, preserve, or disclose messages when necessary to operate the platform, enforce these Terms, investigate reports, support users, comply with law, prevent harm, or protect platform integrity.

17. Prohibited uses

You may not use WellPro to:

  • Violate any law, regulation, professional rule, or third-party right
  • Offer unlawful, unsafe, misleading, fraudulent, or unauthorized services
  • Make false, misleading, exaggerated, or unsupported health, wellness, financial, or professional claims
  • Upload or transmit malware, viruses, harmful code, or security threats
  • Scrape, crawl, copy, harvest, or misuse platform data
  • Reverse-engineer, disrupt, overload, or interfere with WellPro systems
  • Circumvent payments, fees, verification, booking rules, access controls, or platform protections
  • Collect, sell, or misuse other users' information
  • Post content that is unlawful, harmful, defamatory, obscene, abusive, discriminatory, infringing, deceptive, or otherwise objectionable
  • Use WellPro for emergency, crisis, or urgent medical purposes
  • Engage in conduct that harms users, specialists, WellPro, or platform trust

WellPro may take action against any account, content, listing, booking, message, or payment activity that violates these Terms or creates legal, operational, reputational, safety, payment, or trust risk.

18. Reviews, testimonials, and feedback

Seekers may be able to submit ratings, reviews, testimonials, or feedback about sessions or specialists. Reviews must be honest, based on genuine experiences, and not misleading, defamatory, abusive, or fraudulent.

Specialists may not manipulate reviews, offer improper incentives for positive reviews, submit fake reviews, pressure seekers to change reviews, or retaliate against seekers for honest feedback.

WellPro may moderate, remove, hide, decline to publish, or edit the display format of reviews or testimonials where we believe they violate these Terms, platform standards, legal requirements, or user safety.

19. Third-party links and tools

WellPro may contain links to third-party websites, tools, booking systems, payment processors, video platforms, social platforms, analytics tools, calendar tools, or other external services.

WellPro does not control and is not responsible for third-party services, websites, policies, actions, errors, outages, charges, data practices, or content. Your use of third-party services is at your own risk and may be governed by separate terms and privacy policies.

20. No medical, emergency, or professional advice from WellPro

WellPro does not provide medical advice, diagnosis, treatment, therapy, emergency services, legal advice, financial advice, or professional healthcare services.

Content on WellPro, including articles, profiles, AI-generated suggestions, specialist information, search results, compatibility signals, and educational materials, is provided for general informational and discovery purposes only.

If you have a medical emergency, mental health crisis, or urgent safety concern, contact emergency services or an appropriate crisis resource immediately.

21. Disclaimers

WellPro is provided on an “as is” and “as available” basis. To the maximum extent permitted by law, WellPro disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, reliability, and uninterrupted operation.

WellPro does not guarantee that:

  • The platform will be error-free, secure, uninterrupted, or always available
  • Search, matching, AI, profile, analytics, or booking tools will produce any specific result
  • A seeker will find a suitable specialist
  • A specialist will receive bookings, revenue, visibility, search ranking, or business growth
  • A session will produce any particular health, wellness, business, emotional, physical, or personal outcome
  • User content, specialist content, third-party content, or AI-supported content will be accurate, complete, lawful, or reliable

You use WellPro at your own risk.

22. Limitation of liability

To the maximum extent permitted by law, Metasomaura LLC, WellPro, and their owners, officers, employees, contractors, affiliates, vendors, service providers, licensors, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, punitive, or similar damages, including lost profits, lost revenue, lost data, lost business, reputational harm, personal dissatisfaction, service outcomes, or replacement costs.

To the maximum extent permitted by law, WellPro's total liability for any claim arising out of or relating to the platform, these Terms, or your use of WellPro will not exceed the greater of:

  • The amount you paid to WellPro in platform fees or subscription fees during the three months before the event giving rise to the claim; or
  • $100.

Some jurisdictions do not allow certain limitations of liability, so some limitations may not apply to you.

23. Indemnification

You agree to defend, indemnify, and hold harmless Metasomaura LLC, WellPro, and their owners, officers, employees, contractors, affiliates, vendors, service providers, licensors, and agents from and against any claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys' fees, arising out of or related to:

  • Your use of WellPro
  • Your services, content, profile, communications, bookings, or professional conduct
  • Your violation of these Terms
  • Your violation of any law, regulation, professional rule, or third-party right
  • Any dispute between you and another user, seeker, specialist, client, patient, customer, processor, or third party
  • Any refund, chargeback, dispute, tax issue, credential issue, insurance issue, or professional compliance issue connected to your services

24. Account suspension, restriction, and termination

WellPro may suspend, restrict, deactivate, hide, remove, or terminate any account, profile, service, booking access, payout access, messaging access, content, or platform feature at any time if we believe, in our sole discretion, that:

  • You violated these Terms or another WellPro policy
  • Your information is inaccurate, incomplete, expired, misleading, or unverifiable
  • You failed to maintain required credentials, insurance, subscription status, or Stripe Connect status
  • You engaged in unsafe, fraudulent, abusive, discriminatory, unlawful, misleading, or inappropriate conduct
  • You misused messaging, reviews, AI tools, payments, bookings, refunds, or platform systems
  • You created payment, chargeback, legal, safety, reputational, operational, or trust risk
  • We are required to do so by law, payment processors, card networks, regulators, or professional standards
  • Continued access would be harmful to users, specialists, WellPro, or the platform

You may stop using WellPro at any time. Certain obligations, including payment obligations, indemnification, dispute resolution, content licenses, disclaimers, limitations of liability, and provisions intended to survive termination, will survive account termination.

25. Changes to the platform or Terms

WellPro may update, change, suspend, or discontinue any part of the platform at any time.

We may update these Terms from time to time by posting a revised version or providing notice where appropriate. Your continued use of WellPro after updated Terms take effect means you accept the updated Terms.

26. Dispute resolution, arbitration, and class action waiver

Please read this section carefully. It affects your legal rights.

You and WellPro agree to first attempt to resolve any dispute informally by contacting each other and providing a reasonable opportunity to resolve the issue.

If a dispute cannot be resolved informally, any claim, dispute, or controversy arising out of or relating to these Terms, WellPro, your account, your use of the platform, bookings, payments, subscriptions, specialist services arranged through the platform, or communications through the platform will be resolved by binding arbitration in New York, New York, unless applicable law requires otherwise.

You and WellPro waive the right to a jury trial and agree that disputes will be resolved only on an individual basis. You and WellPro agree not to bring or participate in any class action, collective action, representative action, private attorney general action, or consolidated proceeding, except where such waiver is prohibited by applicable law.

The arbitrator will have authority to award individual relief available under applicable law, but may not preside over any class, collective, consolidated, or representative proceeding unless both parties agree in writing.

Nothing in this section prevents either party from seeking relief in small claims court where available, seeking injunctive or equitable relief for misuse of intellectual property, unauthorized access, security abuse, or platform misuse, or reporting concerns to government agencies where legally permitted.

Judgment on any arbitration award may be entered in any court of competent jurisdiction.

27. Governing law

These Terms and any dispute arising out of or relating to WellPro will be governed by the laws of the State of New York, without regard to conflict-of-law principles, except where federal law or another law applies.

28. Severability

If any provision of these Terms is found to be invalid, unlawful, or unenforceable, the remaining provisions will remain in full force and effect. The invalid or unenforceable provision will be enforced to the maximum extent permitted by law or replaced with an enforceable provision that most closely reflects the original intent.

29. Entire agreement

These Terms, together with any policies, notices, or additional terms referenced by WellPro, form the entire agreement between you and WellPro regarding your use of the platform and supersede any prior or contemporaneous agreements, communications, or understandings.
